1. Acceptance of Terms

Welcome to Apptology Kuwait ("Apptology," "we," "us," or "our"). By accessing or using our website (apptology.com.kw), services, or engaging with our company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

Apptology provides professional software development services, including but not limited to:

• Mobile Application Development (iOS and Android)
• UI/UX Design Services
• Software Development and Web Development
• Digital Marketing Solutions
• Consulting and Technical Support

3. Service Agreement

3.1 Project Scope

Each project will be governed by a separate written agreement or statement of work that outlines specific deliverables, timelines, and payment terms. These Terms supplement any such agreements.

3.2 Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for information and feedback in a timely manner
• Provide necessary access to systems, accounts, or resources as required
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed payment schedule

4. Intellectual Property

4.1 Client-Owned Content

Clients retain all rights to content, materials, and information they provide to Apptology. By providing such materials, clients grant Apptology a non-exclusive license to use, reproduce, and modify such materials solely for the purpose of providing the agreed services.

4.2 Apptology-Created Work

Upon full payment, clients will own the final deliverables created specifically for them, excluding any pre-existing materials, third-party components, or Apptology's proprietary tools and frameworks. Apptology retains the right to use completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

4.3 Third-Party Components

Some projects may incorporate third-party software, libraries, or components. These remain the property of their respective owners and are subject to their own licensing terms.

5. Payment Terms

5.1 Fees and Invoicing

All fees will be specified in the project agreement. Invoices will be issued according to the agreed schedule and payment terms. Late payments may be subject to interest charges and suspension of services.

5.2 Refund Policy

Fees paid for completed work are non-refundable. In cases of project cancellation, fees will be calculated based on work completed up to the cancellation date.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This obligation survives the termination of services.

7. Warranties and Disclaimers

7.1 Service Warranty

Apptology warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any errors or defects reported within 30 days of project delivery.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPTOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Indemnification

Clients agree to indemnify and hold Apptology harmless from any claims, damages, or expenses arising from: (a) client-provided content or materials; (b) violation of these Terms; or (c) violation of any third-party rights.

10. Term and Termination

Either party may terminate services with written notice. Upon termination, client shall pay for all work completed. Apptology reserves the right to suspend services for non-payment.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes shall be resolved in the courts of Kuwait.

13. Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation before pursuing litigation.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, natural disasters, or internet/telecommunications failures.

15. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior understandings and agreements, whether written or oral.
